This Terms of Service Supplement for WCONLINE Subscriptions for Online-Only Institutions governs your acquisition and use of our services.

THIS DOCUMENT IS A SUPPLEMENT TO (AND NOT A REPLACEMENT OF) OUR TERMS OF SERVICE. IT IS DESIGNED TO GOVERN THE USE OF WCONLINE AT ONLINE-ONLY EDUCATIONAL INSTITUTIONS. BY EXECUTING AN ORDER FOR OR CONTINUING WITH WCONLINE SERVICES AT AN ONLINE-ONLY INSTUTION (AFTER RECEIVING NOTICE THAT YOUR INSTITUTION FALLS OUTSIDE OF STANDARD SITE-SPECIFIC WCONLINE LICENSING), YOU AGREE TO THE TERMS OF THIS SUPPLEMENT BY YOUR CONTINUED USE OF THE PRODUCT.
This Agreement was last updated on December 10, 2022. It is effective between You and Us as of the date of You accepting this Agreement.
As defined within our Terms of Service, WCONLINE is licensed as follows:
A subscription to WCONLINE is licensed for use by an unlimited number of students, staff, administrators, and centers (including various types of centers) on a single campus. For the purposes of this license, a "campus" is defined as a single geographical location with a single company or institutional title and with a unique student body and a unified faculty and staff.
Institutions that are wholly defined as "online-only" or that have single, centralized academic centers serving multiple geographically diverse campus and online populations do not fit within this license. As such, we, at our sole discretion and after consultation with the account holder, will require that such institutions use an "online-only" product license in order to be legally licensed to use WCONLINE.
For the purposes of licensing, we define an online-only institution by one or more of the following characteristics:
An institution may need both a traditional, campus-specific license (or licenses) and an online license if an institution has a centralized, virtual support center that serves multiple campuses and offers face-to-face student support on a defined campus (or campuses). Since WCONLINE is licensed to a specific institution, neither an online or standard license would permit the use of a single WCONLINE subscription across different institutions.
A WCONLINE subscription for an online institution is $2175 per year and is offered as an annual subscription only. Like a physical-campus license, the cost includes all support, upgrades, new features, and staff and students associated with the online institution. The $2175 is due at the start of each subscription period.
An online center also pays for use, since synchronous and asynchronous appointments/meetings result in relatively high storage and traffic-related costs on our end. The $2175 annual payment includes 2500 appointments per year. After the first 2500 appointments, the center is billed in blocks of $500 for 2500 additional appointments. The total annual cost for online licenses would look as follows:
This model would continue indefinitely to match the actual number of appointments recorded in WCONLINE through the one-year subscription period. The usage fee is billed at the end of each year and must be paid within thirty days of the invoice date. Any attempt to artificially reduce usage fees (such as by deleting schedules and appointments at the end of a subscription period) will result in the termination of the account--an action that does not relieve your responsibility to pay for our services up until the point of termination.
We perform routine audits of all WCONLINE sites multiple times per year to ensure compliance with our license. Should we suspect that your use of WCONLINE falls outside of your current license, we will contact you to request more information about your use of the product. Regardless of the response, the decision as to which license fits with your use of WCONLINE is solely ours.
We reserve the right to revise this Agreement at any time. You are responsible for and agree to be bound by changes to this Agreement at the time that you are notified of such changes. Changes to pricing will only take effect after the end of the current annual subscription term and only with thirty days notice.
